Individual Entrepreneur Rybin Mikhail Alekseevich (TIN 384905822927, OGRNIP 320385000051839), hereinafter referred to as the "Contractor", hereby publishes a public offer for the conclusion of a Service Agreement on the following terms.
1. General Provisions1.1. This document, in accordance with Article 437 of the Civil Code of the Russian Federation (CC RF), is an official, public, and irrevocable offer (public offer) of the Contractor, addressed to an indefinite circle of individuals and legal entities, hereinafter referred to as the “Customer”, to conclude a Service Agreement (hereinafter – the “Agreement”) on the terms set forth below.
1.2. Full and unconditional acceptance (акцепт) of this offer in accordance with Article 438 of the Civil Code of the Russian Federation is considered to be the performance by the Customer of the actions specified in Section 4 of this Agreement. Acceptance of the offer means that the Customer fully agrees with all provisions of this Agreement and is equivalent to concluding the Agreement.
1.3. From the moment of acceptance, the Customer is considered to have entered into contractual relations with the Contractor under the terms of this Agreement.
1.4. Please read the text of this offer carefully. If you do not agree with any of its terms, the Contractor suggests that you refuse to perform the actions necessary for acceptance and not use the Contractor's services.
2. Terms and Definitions2.1. The following terms and their definitions are used in this Agreement: 2.1.1. Offer — this document, published on the Contractor's Website. 2.1.2. Acceptance of the offer — full and unconditional acceptance of the Offer by performing the actions specified in section 4 of the Agreement. 2.1.3. Customer — an individual or legal entity that has accepted the Offer. 2.1.4. Platform — a set of software and hardware tools of the Contractor, consisting of the Website and the Personal Account, ensuring the functioning of the Service. 2.1.5. Website — the official website of the Contractor on the Internet, located at:
https://suin-ai.demo.mtfy.xyz . 2.1.6. Personal Account - a personalized section of the Platform, available to the Customer after registration at
https://my.suin.ai , through which the Services are managed. 2.1.7. SUIN.ai Service (Service) — access to a set of tools based on artificial intelligence models for content generation, provided by the Contractor on the Platform. 2.1.8. Services — providing the Customer with access to the SUIN.ai Service in accordance with the selected tariff plan. 2.1.9. Credits — conditional units used within the Service to account for the volume of consumed Services (for example, for calculations for generations). 2.1.10. Test mode — providing limited free access to the Service to familiarize with its functionality.
3. Subject of the Agreement3.1. The Contractor undertakes to provide the Customer with Services for granting access to the SUIN.ai Service, and the Customer undertakes to accept and pay for the specified Services in accordance with the procedure and on the terms established by this Agreement.
3.2. The SUIN.ai Service provides the Customer, depending on the selected tariff plan, with access to the following functionalities, but not limited to: 3.2.1. Artificial intelligence models for natural language processing; 3.2.2. Generative artificial intelligence models for text creation; 3.2.3. Diffusion and other models for image creation.
3.3. With the help of the SUIN.ai Service, the Customer has the opportunity to create texts, images, and other types of digital content. The Customer has the right to use the received materials for personal and/or commercial purposes, provided that this Agreement and the legislation of the Russian Federation are observed.
3.4. The Services are provided by the Contractor remotely through the Platform. Access to the Services is provided through the Customer's Personal Account at
https://my.suin.ai after completing the registration and authorization procedure.
3.5. The Contractor has the right to change, update or modify the functionality of the Service and the Platform, as well as the terms of service provision, at any time by publishing an updated version of the Offer on the Website.
3.6. All materials created by the Customer using the Service must comply with the norms of the current legislation of the Russian Federation, not violate the rights and legitimate interests of third parties, including intellectual property rights.
3.7. The Customer is solely responsible for the use of the materials created by them. The Contractor is not responsible for any losses or damages incurred by the Customer or third parties as a result of using content created with the Service.
4. Acceptance of the offer and the procedure for concluding the Agreement4.1. Acceptance of this Offer by the Customer is carried out by sequentially performing the following actions: 4.1.1. Filling out the registration form in the Personal Account on the Website
https://my.suin.ai , including the provision of accurate data necessary for the execution of the Agreement. 4.1.2. Checking the box next to the phrase "I accept the terms of the Public Offer Agreement" or a similar phrase. 4.1.3. Payment for the Services of the Contractor in accordance with the terms of section 6 of this Agreement.
4.2. The Customer's performance of the actions specified in clause 4.1. of this Agreement confirms their full and unconditional agreement with the terms of this Offer and is recognized as the conclusion of the Agreement.
4.3. This Agreement comes into force from the moment of its acceptance by the Customer.
5. Rights and obligations of the parties5.1. Obligations of the Contractor: 5.1.1. Provide the Customer with Services in accordance with the terms of this Agreement and the tariff selected by the Customer. 5.1.2. Provide the Customer with access to the Personal Account and the functionality of the Service after payment confirmation.
5.2. Customer's Responsibilities: 5.2.1. To pay for the Services in the manner and within the timeframes stipulated in Section 6 of this Agreement. 5.2.2. To use the SUIN.ai Service strictly in accordance with the terms of this Agreement and the legislation of the Russian Federation. 5.2.3. Not to transfer their account data (login and password) for access to the Personal Account to third parties and to ensure their confidentiality. All actions performed from the Customer's Personal Account are considered actions of the Customer themselves.
6. Cost and payment procedure6.1. After registration, the Customer may be provided with a free Test Mode with limited functionality or a limited number of Credits. Upon expiration of the test period, to continue using the Service, the Customer must select and pay for one of the tariff plans.
6.2. The current cost of Services, description of tariff plans, and the number of accrued Credits are indicated on the Website
https://suin-ai.demo.mtfy.xyz . Prices are set in Russian rubles. The Contractor's remuneration is not subject to VAT due to the Contractor's application of the simplified and patent taxation system.
6.3. Payment for the Services is made by the Customer on the terms of 100% prepayment for the selected subscription period (e.g., 1 month, 3 months, 6 months, 1 year) or credit package using one of the methods offered on the Platform.
6.4. The Customer's obligation to pay is considered fulfilled from the moment the funds are credited to the Contractor's account.
6.5. At the end of the paid period, the subscription terminates. To continue using the Service, the Customer must pay for a new period.
6.6. If the Customer has selected the automatic subscription renewal option when paying, funds for the next period will be automatically debited from the linked bank card. The Customer can cancel automatic renewal at any time in the Personal Account settings.
6.7. Unused Credits are saved on the Customer's balance, but their use is only possible with an active paid subscription. Unused credits expire after 3 months.
7. Refund Conditions7.1. In accordance with the legislation of the Russian Federation, refunds for Services providing access to digital content (computer programs, databases) are not made if the Customer has gained access to the Service. The moment of gaining access is considered to be the successful authorization of the Customer in the Personal Account after payment.
7.2. By accepting this Offer and making payment, the Customer confirms their consent to the commencement of the execution of the Agreement before the expiration of the period for refusing it and acknowledges that they lose the right to refuse the Agreement and refund funds from the moment they are granted access to the Service in accordance with paragraph 1 of Article 782 of the Civil Code of the Russian Federation and the Law of the Russian Federation "On Protection of Consumer Rights".
7.3. Refunds for periods paid under automatic subscription renewal are not made if the Customer has not canceled auto-renewal before the debit. The responsibility for timely disabling auto-renewal lies with the Customer.
7.4. In exceptional cases, in the presence of a technical error (for example, double debit), the Customer may apply for a refund by sending a request to the support service email:
mail@qwer.agency with supporting documents confirming the erroneous payment. The request is considered within 10 (ten) business days.
8. Liability of the parties8.1. For non-performance or improper performance of obligations under this Agreement, the Parties shall be liable in accordance with the legislation of the Russian Federation.
8.2. The Contractor is not responsible for the Service not meeting the Customer's expectations. The Customer's subjective assessment is not a reason to consider the Services rendered of poor quality.
8.3. The Contractor is not responsible for interruptions in the provision of Services caused by failures in the operation of equipment, communication networks, third-party software, or actions of government bodies.
8.4. The total liability of the Contractor under this Agreement is limited to the amount paid by the Customer for the Services in the reporting period in which the grounds for liability arose.
9. Intellectual Property9.1. All rights to the Platform, the SUIN.ai Service, including their program code, design, databases, domain names suin.ai and my.suin.ai, trademark (if registered), logos and corporate identity, belong to the Contractor.
9.2. The Customer is prohibited from copying, modifying, decompiling, disassembling, and performing other actions with the Platform's source code for the purpose of creating derivative products or illegal use.
9.3. It is prohibited to carry out automated data collection (parsing) or other methods of unauthorized interaction with the Platform and the Service without the prior written consent of the Contractor.
9.4. For the duration of the paid subscription, the Contractor grants the Customer a simple (non-exclusive) right (license) to use the SUIN.ai Service in accordance with its direct functional purpose worldwide.
10. Confidentiality and personal data10.1. The Contractor collects, stores, and processes the Customer's personal data in accordance with Federal Law No. 152-FZ of July 27, 2006 "On Personal Data" and the Privacy Policy, which is an integral part of this Agreement and is posted on the Website.
10.2. By accepting this Offer, the Customer gives their consent to the processing of their personal data provided during registration, for the purpose of fulfilling this Agreement.
10.3. The Parties undertake to maintain the confidentiality of information that became known to them during the execution of this Agreement.
11. Term and amendment of the Offer terms11.1. This Offer comes into force from the moment of its publication on the Website and is valid until its withdrawal by the Contractor.
11.2. The Contractor has the right to unilaterally amend the terms of the Offer at any time. Changes come into force from the moment the new version of the Offer is published on the Website.
11.3. In case of disagreement of the Customer with the introduced changes, he is obliged to stop using the Service. Continued use of the Service after the publication of the new version of the Offer means the Customer's agreement with the introduced changes.
12. Dispute Resolution12.1. The Parties shall endeavor to resolve all disputes and disagreements that may arise from this Agreement through negotiations.
12.2. The Parties establish a mandatory pre-trial claim procedure. The Party with claims sends them to the other Party by email. The claim review period is 15 (fifteen) calendar days from the date of its receipt.
12.3. If disputes are not resolved through the claim procedure, they shall be subject to consideration in court at the location (registration address) of the Contractor in accordance with the legislation of the Russian Federation.
13. Additional terms13.1. Services under this Agreement are provided exclusively through the Platform, available at
https://suin-ai.demo.mtfy.xyz and
https://my.suin.ai . The Contractor is not responsible for the Customer's actions on third-party resources.
13.2. By accepting this Offer, the Customer confirms that they are fully capable and have all the necessary rights and powers to conclude and execute this Agreement.
13.3. The Contractor has the right to send the Customer informational and service messages related to the execution of the Agreement (for example, about the end of a subscription, technical work) to the email address specified during registration.
13.4. All notifications of changes to the Offer, Privacy Policy, and other important documents are published on the Contractor's Website. Publication on the Website is considered proper notification of the Customer.
14. Final Provisions14.1. In all matters not regulated by this Agreement, the parties shall be guided by the legislation of the Russian Federation.
14.2. By accepting the Offer, the Customer confirms that they have read all its terms, understand them, and accept them unconditionally and in full.
